These Terms of Use (“Terms”, “Terms and Conditions”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Sobkichu (“we”, “us”, “our”), the operator of the online e-commerce platform accessible at sobkichu.site and any associated mobile applications or services (collectively, the “Platform” or “Services”).
By accessing, browsing, registering an account, placing an order, participating in our affiliate program, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Shipping & Delivery Policy, Payment Methods Policy, Return & Refund Policy, and any other policies or guidelines posted on the Platform (collectively incorporated herein by reference). If you do not agree with any provision of these Terms, you must immediately discontinue use of the Platform and Services.
Sobkichu is an online-only marketplace based in Dhaka, Bangladesh. We curate and offer a diverse range of high-quality products sourced from multiple trusted suppliers, vendors, and partners (including through dropshipping arrangements). We do not operate physical retail stores, maintain our own inventory warehouse, or directly manufacture products. All transactions are facilitated through our Platform, and we act as an intermediary between buyers and suppliers.
1. Definitions
For the purposes of these Terms:
- Account: The user profile created on the Platform for ordering, tracking, or affiliate participation.
- Affiliate: Any individual or entity approved to promote products via unique referral links and earn commissions.
- Content: All text, images, graphics, logos, product descriptions, videos, audio, software, and other materials available on the Platform.
- Order: A purchase request submitted by you through the checkout process.
- Personal Data: Information relating to an identified or identifiable individual, as defined in our Privacy Policy and PDPO 2025.
- Services: All features, functionalities, content, and tools provided via the Platform.
2. Eligibility and User Representations
2.1 You must be at least 18 years of age (or the age of majority under applicable law) and legally capable of entering into binding contracts to use the Platform. Minors under 18 may only use the Services under the supervision and with the explicit consent of a parent or legal guardian who agrees to these Terms on their behalf.
2.2 By using the Platform, you represent and warrant that:
- All information you provide (including during registration, ordering, or affiliate application) is accurate, complete, and current.
- You will not use the Platform for any unlawful, fraudulent, or unauthorized purpose.
- You have the authority to bind yourself (or any entity you represent) to these Terms.
- You will comply with all applicable laws, including Bangladesh’s Consumer Rights Protection Act 2009, E-commerce Guidelines, and Personal Data Protection Ordinance 2025.
3. Account Responsibilities
3.1 When creating an account, you agree to provide truthful information and keep it updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.
3.2 You must notify us immediately at support@sobkichu.site of any unauthorized access or security breach. We are not liable for losses arising from your failure to secure your account.
3.3 We reserve the right to suspend, restrict, or terminate accounts at any time for violations of these Terms, suspected fraud, or at our sole discretion, with or without notice.
4. Products, Pricing, and Availability
4.1 Product listings are provided in good faith with accurate descriptions, specifications, images, and prices based on supplier information. Due to our multi-supplier model, availability, colors, sizes, or minor details may vary. We do not guarantee absolute accuracy and disclaim liability for typographical or pictorial errors.
4.2 All prices are in Bangladeshi Taka (BDT) and inclusive of applicable taxes unless otherwise stated. We may adjust prices without prior notice, but confirmed orders are honored at the price displayed at checkout.
4.3 Product availability is subject to supplier stock. If an item becomes unavailable after order placement, we will notify you promptly and offer alternatives, refunds, or cancellations.
5. Ordering Process and Contract Formation
5.1 Submitting an order constitutes an offer to purchase the selected products at the stated price and terms. We may accept or reject the offer (e.g., due to stock issues, payment verification failure, pricing errors, or fraud suspicion).
5.2 A confirmation email or SMS does not constitute acceptance. Acceptance occurs only upon shipment dispatch or explicit written confirmation from us.
5.3 We reserve the right to limit quantities per customer or cancel orders if they appear fraudulent or in violation of these Terms.
6. Payments and Financial Terms
6.1 Accepted methods include Cash on Delivery (COD), manual transfers to our personal bKash/Nagad/Rocket accounts, or Binance Personal (crypto). Detailed processes are in our Payment Methods page.
6.2 For non-COD orders, payment must be completed and verified before processing/shipment. You agree to provide accurate transaction references (TrxID/TxHash). We do not store sensitive payment details.
6.3 All payments are non-refundable except as provided in our Return & Refund Policy. We do not accept more than 10% advance payment for pre-order or out-of-stock items unless mutually agreed in writing.
6.4 Currency is BDT only. Any currency conversion or bank fees are your responsibility.
7. Shipping, Delivery, Title, and Risk
7.1 Delivery details, estimated timelines, charges, and partners (e.g., Pathao, RedX, Sundarban Courier) are outlined in our Shipping & Delivery Policy. Timelines are estimates only and may vary due to location, weather, holidays, or supplier delays.
7.2 Title and risk of loss pass to you upon successful delivery to the provided address. You must provide a complete and accurate delivery address and active phone number. We are not liable for failed deliveries due to incorrect information or your unavailability.
7.3 You agree to inspect products upon receipt. Report discrepancies, damages, or defects immediately (within 24-48 hours) via support for resolution under our Return Policy.
8. Returns, Refunds, Exchanges, and Cancellations
8.1 Returns and refunds are governed exclusively by our Return & Refund Policy (available on the Platform). Generally, eligible returns are accepted within 7 days for reasons such as wrong item, defective product, or non-conformity with description (subject to inspection and condition requirements).
8.2 For COD orders, you must accept delivery first and then initiate a return request. Refusing COD without valid reason may result in blacklisting or additional fees.
8.3 Cancellations are possible only before shipment. Post-shipment cancellations may incur fees.
8.4 Refunds are processed to the original payment method (or equivalent) within 7-15 business days after approval, minus any applicable deductions (e.g., shipping, COD fees).
9. Affiliate Program Specific Terms
9.1 Affiliates earn a flat 10% commission on qualifying sales attributed to their unique referral links (default store link or product-specific links). The referral cookie duration is 90 days from the initial click.
9.2 Prohibited activities include: spam promotion, false advertising, keyword bidding on “Sobkichu” terms in PPC, self-referrals, coupon misuse without permission, or any unethical practices.
9.3 Commissions are calculated on net sales (after returns/refunds/cancellations). Payouts occur monthly upon reaching the ৳5,000 minimum threshold, via bKash, Nagad, Rocket, or bank transfer.
9.4 We may terminate affiliate status immediately for violations, with forfeiture of pending commissions if fraud is suspected.
10. User-Generated Content and Reviews
10.1 You may submit reviews, ratings, comments, photos, or other content (“User Content”). By submitting, you grant us a perpetual, royalty-free, worldwide license to use, display, modify, and distribute it.
10.2 User Content must be accurate, non-infringing, and not violate laws or these Terms. We may remove or edit content at our discretion without liability.
11. Intellectual Property Rights
11.1 All Content on the Platform (including text, images, logos, product photos, designs, software) is owned by Sobkichu, our suppliers, or licensors and protected by Bangladesh copyright, trademark, and other intellectual property laws.
11.2 Limited, non-exclusive, revocable license is granted for personal, non-commercial use only. No reproduction, distribution, modification, or commercial exploitation is permitted without prior written consent.
12. Prohibited Conduct
You agree not to:
- Use automated tools (bots, scrapers) to access or collect data from the Platform
- Post harmful, defamatory, obscene, or illegal content
- Impersonate others or provide false information
- Interfere with site functionality (e.g., viruses, overload attacks)
- Engage in fraud, resale for commercial gain without permission, or bulk purchasing for unauthorized purposes
- Violate any applicable laws, including consumer protection, data privacy, or e-commerce regulations in Bangladesh
13. Disclaimers and Limitation of Liability
13.1 The Platform and Services are provided “as is” and “as available” without warranties of any kind (express or implied), including merchantability, fitness for purpose, or non-infringement, except as required by law.
13.2 We are not liable for indirect, incidental, special, consequential, or punitive damages (e.g., loss of profits, data, business interruption) arising from your use of the Services, even if advised of the possibility.
13.3 Our total aggregate liability shall not exceed the amount you paid us for the relevant product or service in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Sobkichu, its owners, officers, employees, suppliers, and partners from any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Services, infringement of third-party rights, or any content you submit.
15. Force Majeure
We are not liable for failure or delay in performance due to events beyond our reasonable control, including natural disasters, strikes, pandemics, government actions, supply chain disruptions, internet outages, or supplier failures.
16. Governing Law, Jurisdiction, and Dispute Resolution
16.1 These Terms are governed exclusively by the laws of the People’s Republic of Bangladesh, without regard to conflict of laws principles.
16.2 Any disputes shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.
16.3 You agree to first attempt good-faith resolution by emailing support@sobkichu.site. We maintain a customer complaint resolution mechanism with acknowledgment within 72 hours and resolution efforts as per e-commerce guidelines.
17. Severability, Waiver, and Assignment
17.1 If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
17.2 No waiver of any breach constitutes a waiver of subsequent breaches.
17.3 We may assign these Terms or any rights/obligations. You may not assign without our prior written consent.
18. Entire Agreement
These Terms, together with linked policies, constitute the entire agreement between you and Sobkichu regarding the Services and supersede all prior understandings.
19. Changes to Terms
We may revise these Terms at any time. Updates will be posted on this page with a revised “Last Updated” date. Continued use after changes constitutes acceptance. Significant changes will be notified via email or prominent notice on the Platform.
